1. Scope of Application

These Terms and Conditions apply to all contracts between Skalum Struthoffs kamp 1, 26127 Oldenburg, Germany (hereinafter “Agency”), and its customers (hereinafter “Client”) concluded via the website https://skalum.agency

2. Services Provided by the Agency

The Agency offers services in e-commerce, search engine optimization (SEO), paid advertising (SEA), social media advertising, and Shopify SEO.

3. Conclusion of Contract

A contract is concluded when the Client accepts an offer from the Agency or receives written confirmation of an assignment from the Agency.

4. Fees and Payment Terms

Fees are based on the individual offer.
Unless otherwise agreed, invoices are due within 14 days of the invoice date without any deductions.

5. Client Obligations

The Client agrees to provide all necessary information and materials required for the execution of the services in a timely and complete manner.
The Agency is not liable for delays caused by a lack of cooperation.

6. Usage Rights

The Agency grants the Client a non-exclusive, non-transferable right to use the deliverables created under the contract.
Further use or modification requires written consent.

7. Liability

The Agency is liable only for damages caused intentionally or by gross negligence.
In cases of slight negligence, the Agency is liable only for the breach of essential contractual obligations.

8. Data Protection

The Agency complies with applicable data protection laws.

9. Confidentiality

Both parties agree to keep confidential all information received in connection with the contract and not to disclose it to third parties.

10. Final Provisions

The law of the Federal Republic of Germany applies. The place of jurisdiction for any disputes arising from the contract is Oldenburg, provided the Client is a merchant.
